本雇佣协议于2003年11月19日签署生效，签约一方为 [ ]，是一家按照中华人民共和国法律注册成立的有限责任企业及其子企业 [ ]（以下简称“企业”）；另一方为作为个人的[ ] (以下简称 “员工”)。
1. 定义。 本协议中开头字母大写的术语，如果在协议文本中没有另行定义，则其意义如附件1所述。
(a) 企业同意雇用员工，员工要承担附件2中规定的职责。
(b) 员工兹同意，按照本协议规定的条件尽全力从事附件2中规定的全职工作。尽管有前述规定，员工可以从事其它活动，例如专业性、慈善性、宗教性活动和类似的组织活动，只要是员工遵守附件3中规定的非竞争、非引诱、保密信息和工作产品协议（“员工义务协议”），并且此等活动不干扰或者阻止员工履行本协议下的职责，或者不在重大方面和企业或其子企业及附属企业产生冲突。
(c) 在协议期间，员工应尽全力确保企业、其子企业以及附属企业的业务按照业务开展地域的一切适用法律法规的规定展开。
EMPLOYMENT AGREEMENT, effective as of November 19, 2003, by and between [], a company incorporated in the People’s Republic of China and a subsidiary of []; and [], an individual (the “Employee”).
1. Definitions. Capitalized terms used herein and not otherwise defined in the text below will have the meanings ascribed thereto on Annex 1.
2. Employment; Duties.
(a) The Company agrees to employ the Employee in the capacity and with such responsibilities as are generally set forth on Annex 2.
(b) The Employee hereby agrees to devote his or her full time and best efforts in such capacities as are set forth on Annex 2 on the terms and conditions set forth herein. Notwithstanding the foregoing, the Employee may engage in other activities, such as activities involving professional, charitable, educational, religious and similar types of organizations, provided that that the Employee complies with the Employee Non-competition, Non-solicitation, Confidential Information and Work Product Agreement attached hereto as Annex 3 (the “Employee Obligations Agreement”) and such other activities do not interfere with or prohibit the performance of the Employee’s duties under this Agreement, or conflict in any material way with the business of the Company or of its subsidiaries and affiliates.
(c) The Employee will use best efforts during the Term to ensure that the Company’s business and those of its subsidiaries and affiliates are conducted in accordance with all applicable laws and regulations of all jurisdictions in which such businesses are conducted.
