1The Total Indebtedness shall be secured by the Securities.

1.1The Borrower will ensure that the aggregate of the Total Indebtedness and other external bank loans together with accrued interests (hereinafter called “Aggregate Indebtedness”) will at all times not exceed seventy per cent (70%) of the aggregate of the Security Value of the Property (as ascertained at the cost of the Borrower by an independent professional valuer approved by the Bank, such approval not to be unreasonably withheld) and the value of any other assets from time to time mortgaged or charged to the Bank (hereinafter called “Charged Assets”) as additional security in compliance with Clause 26.2.1(d) (hereinafter called the "Security Margin"). If at any time the Aggregate Indebtedness exceeds the Security Margin, the Bank shall be entitled, without prejudice to any other rights or remedies that the Bank may have but after consultation with, but not the consent of, the Borrower, to:-

(a)reduce the TL Limit;

(c)require (by written notice to the Borrower) the Borrower to prepay any such part of the Total Indebtedness owing to the Bank within thirty (30) Business Days after the date of such notice;

(d)require (by written notice to the Borrower) the Borrower to provide additional security, mortgage or charge over such properties or assets (other than properties or assets mortgaged or charged under the Securities) as may be approved by the Bank in its absolute discretion, such security, mortgage or charge to be furnished and all documentation and acts relating thereto to be completed and performed (at the Borrower’s sole expense) within sixty (60) Business Days after the date of the notice from the Bank to the Borrower.
